2_Scott Smith VNR

Scott W. Smith is our President, Chief Executive Officer and Director and has served in such capacities since October 2006 and as Director since March 2008. In 2011, Mr. Smith also served as the President and CEO of Encore Energy Partners LP (NYSE: ENP) until its merger completion with Vanguard on December 1, 2011. Prior to joining us, from July 2004 to October 2006, Mr. Smith served as President of Ensource Energy Company, LLC during its tender offer for the units of the Eastern American Natural Trust (NYSE:NGT). He has over 30 years of experience in the energy industry, primarily in business development, marketing, and acquisition and divestiture of producing assets and exploration/exploitation projects in the energy sector. Mr. Smith’s experience includes evaluating, structuring, negotiating and managing business and investment opportunities, including energy investments similar to our targeted investments totaling approximately $400 million as both board member and principal investor in Wiser Investment Company LLC, the largest shareholder in The Wiser Oil Company (NYSE:WZR) until its sale to Forest Oil Corporation (NYSE:FST) in June of 2004. From June 2000 to June 2004, Mr. Smith served on the board of directors of The Wiser Oil Company. Mr. Smith was also a member of the executive committee of The Wiser Oil Company. From January of 1998 to June of 1999, Mr. Smith was the co-manager of San Juan Partners, LLC, which established control of Burlington Resources Coal Seam Gas Trust (NYSE: BRU), which was subsequently sold to Dominion Resources, Inc. Mr. Smith obtained a Bachelor of Business Administration from the University of Texas at Austin.
 

R. Scott Sloan is our Executive Vice President and Chief Financial Officer and has served in such capacities since September of 2017. Mr. Sloan brings significant financial, strategic, and commercial industry experience to the Vanguard board. Most recently, Mr. Sloan oversaw strategic planning, new business development, and oil and gas marketing for Hess Corporation. Previously, Mr. Sloan held various senior leadership positions over his 25 year career at BP, including President of BP Russia, Director of M&A, and several regional Chief Financial Officer roles.  Mr. Sloan also held board positions with TNK Holdings, Slavneft, Rusia Petroleum, In Salah Sales, and Medgaz.  He received his BA in Economics from Colgate University and MBA in Corporate Finance from the University of Chicago.
 

Britt Pence VNR

Britt Pence joined the Company in May 2007 as our Vice President of Engineering and in June 2010 was promoted to Senior Vice President of Operations and in July 2013 named Executive Vice President of Operations. Prior to joining us, since 1997, Mr. Pence was an Area Manager with Anadarko Petroleum Corporation (NYSE: APC) supervising evaluation and exploitation projects in coalbed methane fields in Wyoming and conventional fields in East Texas and the Gulf of Mexico. Prior to joining Anadarko, Mr. Pence served as a reservoir engineer with Greenhill Petroleum Company from 1991 to 1997 with responsibility for properties in the Permian Basin, South Louisiana and the Gulf of Mexico. From 1983 to 1991, Mr. Pence served as reservoir engineer with Mobil with responsibility for properties in the Permian Basin.
 

Jonathan C. Curth is our General Counsel, Corporate Secretary and Vice President of Land since December 2017.  Previously, Mr. Curth served as the Assistant General Counsel at Newfield Exploration Company (NYSE: NFX), where he managed upstream and midstream transactions and litigation and supported numerous departments, including land, land administration, marketing, operations, records, accounting, governmental affairs, and internal audit.  Prior to Newfield, Mr. Curth concentrated on domestic and international oil and gas transactions and operational matters at Baker & McKenzie LLP and Brown & Fortunato, P.C.  Mr. Curth brings over a decade of legal experience to Vanguard, with an emphasis on oil and gas transactions, in addition to experience in corporate governance matters and formulating and implementing land-related processes and procedures.  He received his B.A. from Baylor University and his J.D. from The University of Texas School of Law.  Mr. Curth is licensed in Texas and Oklahoma, has presented at several conferences and contributed to numerous articles and presentations, and he is Board Certified in Oil, Gas and Mineral Law by the Texas Board of Legal Specialization.

 

BOARD OF DIRECTORS

Randall Albert is the owner and CEO of Shale Advisory Group, a consulting firm focused on the emerging shale plays in the Appalachian Basin and around the world. Mr. Albert retired from CONSOL Energy in January 2014 after a 34 year career, serving the last several years as the Chief Operating Officer-Gas. Mr. Albert began at CONSOL as a mining engineer in 1979 and served in various roles on the coal side of the business until he was tapped to lead the Coalbed Methane Business in CONSOL Energy’s Southern Appalachia Region. In 1990 Mr. Albert led the formation of Pocahontas Gas Partnership, a joint venture with Conoco which ultimately drilled and stimulated over 4000 wells in southwestern Virginia and became one of the largest CBM plays in the world. In 2005, Mr. Albert took on operational leadership roles and successfully developed the CONSOL Energy Gas business in Northern Appalachia. In 2010, he was named the Chief Operating Officer-Gas and given operational responsibility for CONSOL Energy’s entire gas business. During his tenure, Mr. Albert led the rapid development of CONSOL Energy Marcellus Shale program as well as the emerging Utica Shale program.  Mr. Albert was also instrumental in leading the $3.5 billion acquisition of Dominion Resources E&P; business in 2010. Mr. Albert is a past Chairman of the Marcellus Shale Coalition and a Member of the Board of Eclipse Resources Corporation and Wellsite Rentals and Fishing Tools.  He serves on the Strategic Advisory Board of Black Bay Energy Capital, a New Orleans based Private Equity fund.  He holds a BS in Mining Engineering from Virginia Tech, where he is a Mining and Minerals Engineering Distinguished Alumnus and serves on the Mining Engineering Department’s Advisory Board.  In April of 2016 Mr. Albert was inducted into the Academy of Engineering Excellence at Virginia Tech, the highest honor bestowed upon the College of Engineering graduates, an honor bestowed upon only 141 of its 65000 graduates. Mr. Albert is a Registered Professional Engineer in WV and VA.

Michael Alexander is a Managing Director at Marathon Asset Management, a New York based investment manager, which he joined in March 2005. Mr. Alexander focuses on corporate credit and restructuring transactions and covers multiple sectors including energy. Mr. Alexander spent three years in Marathon’s London office from 2006 to 2009 helping build Marathon’s European credit business, before returning to New York. Prior to joining Marathon, he worked at The Blackstone Group in its restructuring advisory business (now PJT Partners). Mr. Alexander received a B.S. in Commerce from the University of Virginia with a concentration in finance

Joseph Citarrella is a Principal at Monarch Alternative Capital LP, a New York-based private investment firm. Prior to joining Monarch in May 2012, Mr. Citarrella was an Associate at Goldman Sachs in the Global Investment Research group, covering the integrated oil, exploration and production, and refining sectors. Mr. Citarrella received a B.A. in Economics from Yale University.

W. Greg Dunlevy is one of the Founding Partners of Kosmos Energy Ltd. Kosmos Energy is an international oil and gas exploration and production company with a primary focus in the deep waters of West Africa, South America and Europe. In May 2011, Mr. Dunlevy led Kosmos’ initial public offering on the NYSE, valuing the company at $6 billion. Prior to going public, he was instrumental in securing $4 billion in combined debt and private equity commitments from a global consortium of banks and financial institutions that supported Kosmos’ exploration, appraisal and development program as a private company operating offshore West Africa.  Kosmos is best well known for its exploration success in Ghana where the company made one of the largest oil discoveries of the decade in 2007.  Mr. Dunlevy co-founded Kosmos in 2003 and was previously Senior Vice President and CFO of Triton Energy Ltd. (NYSE: OIL), where he worked closely with the CEO in setting strategic direction. Following the sale of Triton to Amerada Hess Corporation (now Hess Corporation), he led its transition from a publicly held company to a Hess business unit. Mr. Dunlevy began his career with ARCO, where he worked for ARCO Petroleum Products Company, the ARCO Oil and Gas Company, and Lyondell Petrochemical Company subsidiaries.  In 2011 he received Ernst & Young’s Entrepreneur of the Year Award (Southwest Area North) in the energy category.  Mr. Dunlevy is a graduate of Harvard Business School and the College of William & Mary.

Graham Morris is the Distressed Equity Strategy Head for Contrarian Capital Management. Mr. Morris joined Contrarian in 2006 and is responsible for managing the Distressed Equity Strategy. Prior to this role, Mr. Morris was the Assistant Portfolio Manager of Contrarian Long Short and Contrarian Distressed Equity. Before joining Contrarian, Mr. Morris was an Analyst at Advent Capital Management L.L.C. from 2003 to 2005. At Advent Capital, Mr. Morris covered event driven and deep value equities as well as high yield and convertible bond investments. From 2000 to 2002, he was an Associate in the Telecom & Media Investment Banking group at UBS where he advised corporate clients on restructuring activities, high yield offerings, IPOs and mergers, and acquisitions. Mr. Morris received his MBA from Columbia Business School and graduated phi beta kappa with a BA in Economics from the University of Texas at Austin.
